Among the total area of 20,500 hectares of land of the locations above, it included the portion of land sizes 10,000 hectares which is being grated to Wuzhishan L.S Group.
The government and Wuzhishan L.S Group shall cooperate with the competent institution(s) to conduct study and to determine the location within 3 months after signing the contract.
Wuzhishan L.S Group can request an extension of the contract after the 70-year term has ended or 1 year prior to the expiry of the contract. The extension can be made if there is an approval by the government, at the request of the Ministry of Agriculture, Forestry and Fisheries, according to the previous performance of Wuzhishan L.S Group and in consultation and agreement from the Ministry of Agriculture, Forestry and Fisheries regarding the conditions for the new contract.
Wuzhishan L.S Group shall allow the government and concerned institution(s) to monitor, inspect, evaluate its activities regarding environmental impact. Wuzhishan L.S Group shall follow the guidance of the government and concerned institution(s) in the protection of environment.
Wuzhishan L.S Group shall implement the business activities such as land clearing, road construction, planting and caring according to the plan and by respecting the condition of sustainability of natural resources of the location and on the environment impact that may result from the business-production activities. Wuzhishan L.S Group has right to determine the time for collecting resins of pine trees and for cutting them according to its plan by respecting the forestry law.
Wuzhishan L.S Group shall be obliged to pay taxes to the state according to the applicable laws of the Kingdom of Cambodia. Before clearing the land for development, Wuzhishan L.S Groip shall seek the approval from the government for clearing or processing and transporting the logs on the land and shall pay tax levy and premium to the government according to the applicable forestry principles and law.
Wuzhishan L.S Group shall pay the deposit of 1 dollar per hectare for the whole area of 10.000 hectares of land, as provided for in Art. 1 in order to secure the implementation of this contract. This deposit shall be paid 3 months at the latest after signing the contract. This deposit shall be refunded to Wuzhishan L.S Group when it has completed the planting activities according to the 5 year-plan or before the plan as set out in the Art. 3.2. To secure the funding from domestic and foreign banks to extend additional investment, the government can use its plants and assets it has invested on the land concession in order to secure a debt.
Wuzhishan L.S Group shall pay the annual rental fees of the land concession, according to the rate of the rental fees of land determined by the government or the competent institution(s)
If there is a land dispute with local people when Wuzhishan L.S Group implements the investment plan in the concession area, the government has right to stop the land concession activities to resolve and protect the interest of the people. If there is land dispute between a military base and the people, the government shall give priority to resolve the dispute for the people.
Wuzhishan L.S Group must pay attention to livelihood as well as health and education to the staff, workers and their families through the proper building of houses, hospitals, pagodas, schools and recreation centers for them
Wuzhishan L.S Group can recruit domestic or foreign workers to give advice or guidance on the works relating to business-production techniques as needed if there is no Khmer specialists in the country provided that such workers shall respect the Cambodian laws

Wuzhishan L.S Group must pay attention to livelihood as well as health and education to the staff, workers and their families through the proper building of houses, hospitals, pagodas, schools, recreation centers for them
The portion of land sizes 10,000 hectares being granted to Wuzhishan L.S Group for planting purpose does not affect or overlap with the land occupied by the local population; forested land; traditional and cultural land belonging to indigenous people which included farm land (Chamka), reserved farm land, residential land, grave land, spirit’s forested land, legitimate land for collective use; and the state public land.
Right to access concession area (non-contracting parties)
The government must intervene to resolve any incident if any person violates Wuzhishan L.S Group's right in implementing the contract and the use of location or seizes any part of the land.
Construction as part of the project includes building a factory for processing the resins of pine trees and the factory for processing the pine wood for exportation. For every construction of infrastructures, such as dams, streams, which would affect the surrounding areas, Wuzhishan L.S Group shall seek authorization from the government or concerned institution(s). All immovable properties and infrastructures and all achievements obtained by Wuzhishan L.S Group shall be subject to the control of Wuhishan L.S Group until the termination of the contract.
Wuzhishan L.S Group shall use the location for 5 years, from the signing date of the contract for all area of 10,000 hectares, based on the master plan with the strategic development program for using the location.
Wuzhishan L.S Group must prepare for business production on the land according to the plan in its economic-technical report and in accordance with Arts. 3 and 7.3 in this contract.
If there is a land dispute with local people when Wuzhishan L.S Group implements the investment plan in the concession area, the government has right to stop the land concession activities to resolve and protect the interest of the people. If there is land dispute between a military base and the people, the government shall give priority to resolve the dispute for the people.
If any dispute occurs during the implementation of this contract, Wuzhishan L.S Group and the government shall compromise to settle the dispute according to their rights and obligations in this contract. If Wuzhishan L.S Group and the government cannot compromise or settle the disputes within a period of 60 days from the date of dispute, they shall submit to the Council for Development of Cambodian for reconciliation.
If the Council for Development of Cambodian still cannot reconcile the disputes within a period of 30 days, upon the receipt of request as stated in Art. 11.2, Wuzhishan L.S Group and the government shall forward the documents of the dispute to the court of the Kingdom of Cambodia to adjudicate.
Wuzhishan L.S Group may transfer the contract to a successor. "Successor" means a person to whom Wuzhishan L.S Group gives privilege before the law or the person recognized by law as spousal relation. Notification of any transfer shall be given to the government at least 6 months before implementation.
If Wuzhishan L.S Group subleases or transfers this contract, Wuzhishan L.S Group shall comply with the law on investment and the amendment of the law on investment of the Kingdom of Cambodia and obtain the approval from the Council for Development of Cambodian at the request of the government.
Notice of the expiration of the contract shall be given within 1 year, or during the last year of the contract's validity. Wuzhishan L.S Group can withdraw its planned activity from the project as a whole or a part if it is unable to control, upon the agreement by the government.
The withdrawal or the sale of factory materials and equipments, cargoes, vehicles, tools as well as means of transportation and the fixtures shall be made according to the applicable laws and provisions. If Wuzhishan L.S Group fails to conduct the activities as stated in the contract for a period of 1 year from the date of signature, the government can terminate the contract unconditionally and bears no indemnity. This termination shall result in the confiscation of deposited money of Wuzhishan L.S Group as the State’s property.
If Wuzhishan L.S Group cannot accomplish its duty partially or wholly in pursuant to the conditions of this contract as a result of force majeure (act of God), Wuzhishan L.S Group shall declare to the government in writing explaining his/her reasons. The obligations of Wuzhishan L.S Group will then be temporary suspended. The term “force majeure” includes storm, war, earthquake, civil unrest, riot, strike, explosions, widespread diseases as well as events or circumstances beyond the appropriate control of Wuzhishan L.S Group and the government.
Wuzhishan L.S Group shall develop a plan to manage and develop the location to the government for at least 6 months after signing the contract. This management plan shall have the master plan of the strategic development, location used programme, the use of techniques and the balance of economic and financial plan in a long term development process (time to start the working process until exhausting the land, location and the remaining period). Wuzhishan L.S Group shall make the report on the outcome of the implementation of investment activities on the land concession every semester and year to the government.
